TERMS OF USE
These Terms of Use, read together with the Privacy Policy, Return, Refund and Replacement Policy, Shipping Policy and any other rules, guidelines or policies published on this website (collectively, the “Policies”), constitute a legally binding agreement (“Agreement”) between Syntro Global Marketing Pvt Ltd, a company incorporated under the Companies Act, 2013, having its registered office at SCO No. 3, Sector 10A, Gurugram, Haryana, PIN Code 122001, India (hereinafter referred to as “Syntro”, “the Company”, “We”, “Us” or “Our”), and any individual or entity who accesses, browses, registers on, or transacts through the website www.syntro.in, including any mobile site, mobile application or other digital platform operated by Syntro (collectively, the “Platform”), such individual or entity being referred to as “You”, “Your” or the “User”. By accessing, browsing, registering an account on, or placing an order through the Platform, You acknowledge that You have read, understood and agree to be bound by this Agreement and all Policies incorporated herein by reference, without any modification. If You do not agree with any part of this Agreement, You must immediately discontinue use of the Platform. Your continued use of the Platform following any amendment to this Agreement shall constitute Your acceptance of such amendment.
1. Definitions
1.1. “Account” means the registered profile created by a User on the Platform for the purpose of browsing, ordering or transacting.
1.2. “Applicable Law” means all statutes, enactments, rules, regulations, notifications and orders in force in India, including but not limited to the Information Technology Act, 2000, the Consumer Protection Act, 2019, and the Consumer Protection (E-Commerce) Rules, 2020.
1.3. “Content” means all text, graphics, images, product descriptions, logos, videos, software and other material appearing on the Platform.
1.4. “Order” means a request placed by a User for the purchase of Products through the Platform, subject to acceptance by Syntro in accordance with Clause 6.
1.5. “Products” means the electronics and electronic accessories and allied goods offered for sale by Syntro on the Platform from its own inventory.
1.6. “Services” means the facilities made available by Syntro through the Platform, including browsing, product discovery, order placement, payment processing and post-sale support.
2. Eligibility to Use the Platform
2.1. The Platform is intended solely for use by persons who are competent to contract under the Indian Contract Act, 1872, and who are at least eighteen (18) years of age. By using the Platform, You represent and warrant that You meet this eligibility criterion.
2.2. If You are accessing or transacting on the Platform on behalf of a company, firm or other entity, You represent that You possess the requisite authority to bind that entity to this Agreement.
2.3. Syntro reserves the right to refuse access to the Platform, terminate an Account, or cancel an Order where it has reasonable grounds to believe that a User has furnished false or misleading eligibility information.
3. Account Registration and Security
3.1. To place an Order, a User may be required to register an Account by providing accurate, current and complete information, including name, mobile number, email address and delivery address.
3.2. The User is solely responsible for maintaining the confidentiality of Account login credentials, including any password or one-time password (OTP), and for all activities that occur under the Account, whether or not authorised by the User.
3.3. The User shall notify Syntro immediately at [email protected] upon becoming aware of any unauthorised use of the Account or any other breach of security.
3.4. Syntro shall not be liable for any loss or damage arising from the User's failure to comply with this Clause 3.
4. Product Listings, Descriptions and Pricing
4.1. Syntro endeavours to display Product descriptions, specifications, images and prices as accurately as possible. However, colours, dimensions and finishes may vary slightly due to photographic lighting, screen resolution and manufacturing tolerances, and such variation shall not constitute a defect.
4.2. All prices displayed on the Platform are quoted in Indian Rupees (INR) and are inclusive of applicable Goods and Services Tax (GST) unless expressly stated otherwise. Syntro's GST Registration Number is 06ABQCS1664N1ZN.
4.3. Syntro reserves the right to modify the price of any Product at any time prior to acceptance of an Order. Prices confirmed at the time an Order is accepted shall remain binding for that Order.
4.4. In the event a Product is mispriced due to a typographical, technical or pricing-feed error, Syntro reserves the right to cancel the affected Order, whether or not payment has been confirmed, and to refund any amount already collected in accordance with Clause 9.
4.5. Syntro does not guarantee that any Product will be available at all times. Listing of a Product on the Platform does not constitute an offer for sale but an invitation to the User to make an offer to purchase, which offer is subject to acceptance by Syntro under Clause 6.
5. Order Placement
5.1. A User may place an Order by adding Products to the cart and completing the checkout process, which requires the User to furnish an accurate delivery address, contact number and, where applicable, payment details.
5.2. Placement of an Order by a User constitutes an offer to purchase the selected Products at the price and on the terms displayed at checkout.
5.3. The User is responsible for verifying the accuracy of the Order, including Product variant, quantity and delivery address, prior to final submission. Syntro shall bear no liability for non-delivery or misdelivery arising from incorrect information furnished by the User.
6. Order Acceptance and Cancellation
6.1. An Order shall be deemed accepted by Syntro only upon dispatch of the Product(s) or upon issuance of an explicit Order confirmation, whichever is earlier. A payment confirmation or Order acknowledgement number, by itself, does not amount to acceptance.
6.2. Syntro reserves the right, at its sole discretion, to refuse or cancel any Order, including on account of: (a) unavailability of stock; (b) inaccuracies in Product or pricing information; (c) suspected fraudulent, unauthorised or illegal activity; (d) failure to satisfy eligibility criteria under Clause 2; or (e) errors in the delivery address or contact details provided.
6.3. Where an Order is cancelled by Syntro after payment has been received, the full amount paid by the User shall be refunded in accordance with Clause 9 within a reasonable time, and in any event within the timeline prescribed under Applicable Law.
7. Payment Terms
7.1. Syntro accepts payment through Cash on Delivery (COD) as well as prepaid modes, including debit cards, credit cards, net banking, unified payments interface (UPI) and other digital payment methods enabled on the Platform from time to time.
7.2. All online payments are processed through third-party payment gateway service providers. Syntro does not store the User's complete card or banking credentials, and such information is handled in accordance with the payment gateway provider's own security protocols and Applicable Law.
7.3. Orders placed under Cash on Delivery may be subject to a maximum order value threshold, additional verification (including OTP confirmation) or a nominal COD handling charge, as may be communicated at checkout.
7.4. Syntro reserves the right to restrict or withdraw the COD option for any User or pin code at its discretion, including where repeated non-acceptance of COD deliveries is observed against a given Account or address.
7.5. In the event of a failed transaction where an amount has been debited from the User's account but the Order has not been confirmed, the amount shall be reversed by the concerned bank or payment gateway within their respective standard timelines. Syntro shall extend reasonable assistance in such cases upon being notified at [email protected].
8. Shipping and Delivery
8.1. Syntro currently ships Products to serviceable pin codes across India (Pan-India delivery). International shipping is not available at this time.
8.2. Estimated delivery timelines displayed on the Platform are indicative and may vary due to factors including, but not limited to, courier partner delays, force majeure events, incomplete or incorrect address details, or restrictions imposed by local authorities.
8.3. Risk in the Products shall pass to the User upon delivery to the address specified in the Order. The User is advised to inspect the package at the time of delivery and to record any visible damage with the delivery partner.
8.4. Where a Product is returned to Syntro as undelivered due to an incorrect address, refusal of delivery, or the User's unavailability on repeated delivery attempts, Syntro reserves the right to deduct reasonable forward and reverse shipping costs from any refund due, or to cancel the Order at its discretion.
9. Cancellation, Return, Refund and Replacement
9.1. A User may request cancellation of an Order at any time before it has been dispatched, through the Account order-history section or by writing to [email protected].
9.2. Subject to the detailed Return, Refund and Replacement Policy published on the Platform, a User may request return or replacement of a Product within seven (7) days of delivery, provided the Product is unused, undamaged, and returned in its original packaging along with all accessories, manuals, tags and invoice.
9.3. Products that are damaged due to misuse, physical or liquid damage, unauthorised repair or alteration, or where the original packaging, serial number or tamper-evident seal is missing or broken, shall not be eligible for return or replacement, save where such Product is found to carry a manufacturing defect.
9.4. Certain categories of Products, including but not limited to opened consumables, innerwear-type accessories, and Products explicitly marked as non-returnable at the time of listing, are excluded from the return window described in Clause 9.2.
9.5. Approved refunds shall be processed to the original mode of payment (or, for Cash on Delivery Orders, to the User's designated bank account or Platform wallet, as applicable) within a reasonable time after the returned Product has been received and inspected by Syntro, in accordance with Applicable Law.
9.6. This Clause 9 is supplemental to, and should be read together with, the standalone Return, Refund and Replacement Policy published on the Platform, which shall govern in the event of any specific conflict on procedural matters.
10. Product Warranty
10.1. Where a Product carries a manufacturer's warranty, such warranty shall be honoured directly by the respective manufacturer or its authorised service network, subject to the terms, conditions and exclusions specified by that manufacturer.
10.2. Except as expressly stated on the Platform or required under Applicable Law, Syntro makes no independent warranty, express or implied, as to the merchantability, fitness for a particular purpose, or performance of any Product beyond that extended by the manufacturer.
11. Intellectual Property Rights
11.1. All Content on the Platform, including the “Syntro” name, associated logos, trademarks, and the design, layout, graphics and underlying software of the Platform, is the exclusive property of Syntro or its licensors and is protected under applicable intellectual property laws of India.
11.2. No User is permitted to copy, reproduce, republish, frame, download, transmit, modify, distribute, or create derivative works from any Content without the prior written consent of Syntro, save for the incidental copying necessary for ordinary personal, non-commercial browsing and shopping on the Platform.
11.3. Any unauthorised use of Syntro's intellectual property may result in civil and criminal liability under Applicable Law.
12. User Obligations and Prohibited Conduct
In using the Platform, the User agrees that they shall not:
Provide false, inaccurate, or misleading information at the time of registration, Order placement, or otherwise;
Use the Platform for any purpose that is unlawful, fraudulent, or prohibited under this Agreement or Applicable Law;
Attempt to gain unauthorised access to the Platform, its servers, or any connected network, or interfere with its security-related features;
Upload, transmit or introduce any virus, malware, or other code designed to disrupt, damage, or limit the functioning of the Platform;
Engage in any activity that places an unreasonable or disproportionately large load on the Platform's infrastructure, including automated scraping or bulk order placement using bots;
Resell Products purchased through the Platform in the course of a business without Syntro's prior written consent, where such resale is inconsistent with the retail nature of the Platform;
Impersonate any person or entity, or misrepresent an affiliation with Syntro.
Syntro reserves the right to suspend or terminate the Account of any User found, at Syntro's reasonable discretion, to be in breach of this Clause 12, in addition to any other remedy available under Applicable Law.
13. Third-Party Links and Services
13.1. The Platform may contain links to third-party websites, payment gateways, courier-tracking pages, or services that are not owned or controlled by Syntro. Such links are provided for the User's convenience only.
13.2. Syntro does not endorse and is not responsible for the content, accuracy, or practices of any third-party website or service, and access to any such third-party link is entirely at the User's own risk.
14. Disclaimer
14.1. The Platform and its Content are made available on an “as is” and “as available” basis. While Syntro takes reasonable care to ensure the Platform functions without interruption, Syntro does not warrant that the Platform will be uninterrupted, error-free, or entirely secure at all times.
14.2. Syntro shall not be responsible for any delay or failure in performance of its obligations under this Agreement resulting from causes beyond its reasonable control.
15. Limitation of Liability
15.1. To the maximum extent permitted under Applicable Law, Syntro's aggregate liability arising out of or in connection with a User's use of the Platform, whether in contract, tort or otherwise, shall not exceed the value of the specific Order giving rise to the claim.
15.2. Syntro shall not be liable for any indirect, incidental, consequential, special or punitive damages, including loss of profit or data, arising from the use of, or inability to use, the Platform, save where such exclusion is not permitted under Applicable Law.
15.3. Nothing in this Clause 15 shall be construed to limit or exclude Syntro's liability where such limitation or exclusion is not permitted under the Consumer Protection Act, 2019, or any other mandatory provision of Applicable Law.
16. Indemnification
16.1. The User agrees to indemnify and hold harmless Syntro, its directors, officers, employees and agents from and against any claim, demand, loss, liability or expense (including reasonable legal fees) arising out of the User's breach of this Agreement, violation of Applicable Law, or infringement of any third-party right.
17. Grievance Redressal
In accordance with the Information Technology Act, 2000, the rules made thereunder, and the Consumer Protection (E-Commerce) Rules, 2020, the details of the Grievance Officer are published below for the redressal of any complaints or concerns regarding the Platform:

18. Privacy
18.1. Syntro collects, uses, stores and discloses personal information of Users strictly in accordance with the Privacy Policy published on the Platform, which forms an integral part of this Agreement.
18.2. By using the Platform, the User consents to such collection and processing of personal information as described in the Privacy Policy.
19. Force Majeure
19.1. Syntro shall not be held responsible for any failure or delay in performance of its obligations under this Agreement arising from causes beyond its reasonable control, including but not limited to acts of God, natural disaster, fire, flood, pandemic, epidemic, war, riot, strike, lockout, act of government, failure of telecommunications or internet infrastructure, or disruption to courier and logistics networks.
20. Amendment of Terms
20.1. Syntro reserves the right to amend, modify or update this Agreement and any Policy at any time, at its sole discretion, without prior notice, by publishing the revised version on the Platform along with an updated “Last Updated” date.
20.2. It is the User's responsibility to periodically review this Agreement. Continued use of the Platform after any such amendment shall constitute the User's acceptance of the amended Agreement.
21. Suspension and Termination
21.1. Syntro may, at its sole discretion and without prior notice, suspend or terminate a User's Account and access to the Platform in the event of any breach of this Agreement, suspected fraudulent activity, or where required to comply with Applicable Law.
21.2. A User may close their Account at any time by writing to [email protected]. Termination shall not affect any rights or obligations that accrued prior to the date of termination, including in respect of Orders already placed.
22. Governing Law and Dispute Resolution
22.1. This Agreement shall be governed by and construed in accordance with the laws of India.
22.2. Subject to Clause 22.3, any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the competent courts at Gurugram, Haryana, India.
22.3. Nothing in this Clause 22 shall be construed to restrict a User, who qualifies as a “consumer” under the Consumer Protection Act, 2019, from approaching the appropriate consumer forum or authority having jurisdiction in accordance with that Act.
23. Miscellaneous
23.1. Entire Agreement: This Agreement, together with the Policies referenced herein, constitutes the entire understanding between the User and Syntro with respect to the subject matter hereof, and supersedes all prior understandings, whether written or oral.
23.2. Severability: If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
23.3. Waiver: The failure of Syntro to enforce any right or provision of this Agreement shall not be deemed a waiver of such right or provision.
23.4. Assignment: The User may not assign or transfer any rights or obligations under this Agreement without Syntro's prior written consent. Syntro may assign this Agreement, in whole or in part, in connection with any merger, acquisition, or sale of assets.
23.5. Notices: All notices to Syntro shall be in writing and sent to [email protected] or to the registered office address stated above. Notices to a User shall be sent to the email address or contact details registered against the User's Account.
